智慧財產權為法律就人類創作成果所賦予之權利保護,英屬開曼群島商世芯電子股份有限公司(以下簡稱「本公司」)擬定符合本公司營運策略的智財管理計畫,鼓勵研發人員願意從事發明上的貢獻。

建立一套「計劃、執行、檢查與行動(Plan-Do-Check-Action;PDCA)」之管理循環,促進各種商業利益的運作,以妥善保護研發成果,提升競爭力,確保營運的自由,為公司股東帶來最大收益。


本公司每年會向董事會報告智慧財產權管理計畫及當年度執行情況,最近一次提報日期為 2024 年 11 月 1 日。 


智慧財產權管理政策

本公司為有效提升對智慧財產權的取得、保護、維護與運用,並符合智慧財產相關法令之規定及要求,特訂定智慧財產管理政策。 


  1. 遵循我國經濟部智慧財產局發布之智慧財產權規範及相關法令規章。
  2. 遵循智慧財產權國際公約及各國家和地區智慧財產權管理機構之相關規定和作業要求。
  3. 建立合宜的智慧財產權管理機制,確保整合該機制至各項業務及營運流程。
  4. 制訂智慧財產管理與保護制度,持續累積智慧財產權能量,提供足以有效實施與維持智慧財產權管理制度所需之資源。
  5. 為建構堅實的智慧財產權實力,對內設有多元化的獎勵制度,鼓勵員工積極創新,激勵員工智財產出。
  6. 觀測內外部有關智慧財產管理之風險或機會,並隨時檢討改善以維持制度的運作與成效符合本公司預期。
  7. 與外部律師事務所或智慧財產權事務所合作,做為內部管理團隊的延伸,從初步維持既有專利的有效性以進行佈局,進而追蹤產業發展趨勢對於專利的影響。
  8. 強化內部對於智慧財產權之認識,持續以教育訓練宣導提升同仁對智慧財產權重要性的了解,進而降低相關風險並能於必要時刻採取因應措施。 


取得驗證

本公司智慧財產權管理制度分為四個階段循序漸進,依據不同階段配合對應的智慧財產權管理密度: 


  1. 最初以「量」為規劃重心,著重於專利申請案件達到一定數量。
  2. 在提升專利數量的同時,更仔細的審視每件申請專利的「品質」。
  3. 因專利品質的提升,會逐漸增加智慧財產權訴訟,而進一步評估「訴訟風險」的因應。
  4. 最後加入「專利活化」的思維,就專利的授權或讓與來進行專利佈局。 

逐漸提升公司專利申請品質的同時,本公司將參考PDCA的管理循環,維持公司內部智慧財產權管理機制,當有暴露在更多訴訟風險時,逐步導入TIPS制度,以確保TIPS制度的導入對公司營運策略是量身訂製,保有能夠調適的彈性。 


智慧財產投入資源及管理措施 

  • 本公司為建構堅實的智慧財產權實力,對內設有多元化的獎勵制度,鼓勵員工積極創新,激勵員工智財產出;
  • 透過不同智慧財產權制度,例如:對技術成果的專利保護、對品牌價值的商標保護、對文化創作產出的著作權保護,以及對機密資訊的營業祕密保護等,研發成果得以獲得法律保護,受侵害時得主張救濟;
  • 與外部事務所合作,做為內部管理團隊的延伸,從初步維持既有專利的有效性以進行佈局,進而追蹤產業發展趨勢對於專利的影響。
  • 依產業發展趨勢,審視企業內外部所面臨之挑戰及優缺點,有前瞻性的擬定精準研發目標,建立有效研發控管機制。 


1. 專利管理 

(1) 因應業務佈局即時進行專利檢索,與外部事務所合作提出專利註冊策略之建議。

(2) 了解市場當地專利權登記及保護規範。

(3) 提升研發同仁之專利知識,有效啟動專利維護流程。

(4) 由專責單位進行專利權維護、專利文件保存並確保其有效性。 


2. 商標管理 

(1) 因應國內外業務推展,進行事前商標檢索、風險排查評估及商標註冊申請。

(2) 針對公司業務所及之國家及地區進行評估,確保商標之合法性、可專用性,並避免侵犯他公司商標權。

(3) 透過法律救濟程序,避免危害公司商標權益。

(4) 定期更新公司商標註冊及展延的最新資料,依核准圖樣使用並保存使用證據。

(5) 由專責單位進行權利相關文件之保存及造冊。


3. 營業秘密管理 

(1) 持續落實新進員工對公司保密義務之承諾及確認報到階段所簽署有關保密及無侵權擔保等相關文件。

(2) 優化員工之保密意識及保密行為之執行。

(3) 針對必要對外揭露機密之資訊,須與接收方簽訂保密協議。

(4) 嚴格執行門禁及資安管理相關措施 


4. 著作權管理 

(1) 員工如產出著作需注意避免侵害他人之著作權,引用他人著作權時,應於合理範圍內為合理使用,並標示出處。

(2) 工作設備與電腦資訊軟體需合法使用,避免觸犯著作權法。

(3) 了解海外市場當地著作權相關制度及保護規範。

(4) 進行智慧財產教育訓練提升員工智慧財產知識。


智慧財產權保護與侵害防範: 


1. 本公司員工於職務上所完成之一切著作、創作、發明、設計、營業秘密等智慧財產,歸屬予本公司所有,如經本公司內部評估有申請智慧財產權保護之必要者,權責管理單位應依相關規定盡速完成申請。 

  • 報到階段:新進員工均應簽署保密約定,進行無侵權擔保及智財成果歸屬之約定,並善盡營業秘密之保密義務。
  • 任職階段:對於營業秘密資料分層分別設定存取、使用權限,並定期強化及提升智慧財產權相關觀念。
  • 離職/退休階段:對離職/退休人員明確表明智慧財產成果歸屬、保密義務及競業禁止等相關權益。 

2. 本公司進行研發、創作、形成智慧財產時,應連結本公司營運目標並確實遵守智慧財產相關法規,不得侵害他人智慧財產權;委託或與第三人合作產出智慧財產者,若視個案情形決定應於契約中約定,該第三人不得侵害他人智慧財產權以及相關保密義務,亦不承擔第三方若侵害他人智慧財產權的責任。 

3. 授權第三人利用或使用本公司智慧財產時,若視個案情形需要,將於契約中約定授權範圍、使用限制及相關罰則。 

4. 本公司如有利用或使用第三人智慧財產權之需要時,應取得所有權人之授權;與第三人之合作,如該第三人有利用或使用他人之智慧財產權時,若視個案情形需要,將於契約約定權利瑕疵擔保,要求該第三人擔保無侵害他人之智慧財產權。
